Mutual understanding of confidentiality

By signing this agreement you agree to keep confidential the information Circle247 shares with you while you consider a possible investment. In plain terms: what we show you stays between us.

1. Purpose

   Circle247 (the Company) will share confidential information with you (the Recipient) so that you can evaluate a possible investment in the Company (the Purpose). This agreement sets out how you must treat that information.

2. Confidential information

   Confidential information means the Circle247 investor deck and any non public information the Company shares with you in any form, including its market analysis, financials, product, technology, plans, pricing and this fundraising, together with the fact that discussions are taking place.

3. Your obligations

   You will keep the confidential information strictly private, use it only for the Purpose, and not copy or share it with anyone except your own professional advisers on a need to know basis, provided they are bound by obligations at least as protective as these. You will protect it with at least reasonable care.

4. Exclusions

   These obligations do not apply to information that is or becomes public through no fault of yours, that you already lawfully held without a duty of confidence, that you independently develop without using the confidential information, or that you are required to disclose by law or a regulator, in which case you will give the Company prompt notice where lawful.

5. No rights granted

   Nothing in this agreement gives you any licence, intellectual property right or other right in the confidential information. All of it remains the property of the Company.

6. No obligation to proceed

   Nothing here obliges either party to enter into any investment or other transaction. Either party may end discussions at any time.

7. Return or deletion

   On the Company's written request you will promptly return or securely delete the confidential information and any copies, and confirm you have done so.

8. Term

   Your confidentiality obligations continue for three years from the date the relevant confidential information was disclosed to you.

9. No warranty

   The confidential information is provided as is. The Company does not warrant that it is accurate or complete, and is not liable to you for your use of it.

10. Governing law

    This agreement and any dispute arising from it are governed by the laws of England and Wales, and both parties submit to the exclusive jurisdiction of the courts of England and Wales.
